SERVICES Sell-side services include: Co-ordination of preparation of sell-side documentation (e.g., technical and legal vendor due diligence reports; tax structuring) Review of asset financial model (e.g., IRRs, etc.) Identification and approach of potential buyers / interested parties (both private and institutional investors) Set-up and management of limited auction process including preparation and management of data room and evaluation of purchase offers Assistance of seller in negotiation of contractual agreements (sale-and-purchase agreements; EPC and O&M contract, etc.) Seller's interface with financing banks (project financing) Buy-side services include: Sourcing and screening of investment opportunities Co-ordination and project management of due diligence process and of the respective counterparts (banks, lawyers, engineers etc.) Assistance in project evaluation (incl. financial modelling) and negotiation of contractual agreements
