The Penn State Law Entrepreneur Assistance Clinic (Eship Clinic) has two purposes: providing pro bono legal services to startup and early-stage businesses and giving students at Penn State Law the opportunity for practical experience while working under the supervision of a licensed lawyer. The Eship Clinic exposes its students to the actual practice of law, in the same manner as in a small law firm. In a typical representation, a student has a one-on-one meeting with a client, develops and then reviews with a supervising attorney an action plan for the client's needs and then implements the plan under the direction of a supervising attorney. The Eship Clinic mainly encounters choice of entity, entity formation, founder and initial investor agreements, shareholder agreements, loan arrangements, certain intellectual property protection, commercial real estate leasing and acquisition, operating agreements, employee management, and compliance with regulatory requirements. These services are provided pro bono (free) to Pennsylvania clients would not otherwise have access to high quality business legal services.
