Unlike a traditional committed private equity fund, participants provide capital on a deal-by-deal basis by making investments into BoldPointe Partners GP/LP Special Purpose Vehicles. These Special Purpose Vehicles are industry segment specific. Participants are not obligated to make any investments. Our affiliate company, BoldPointe Partners Advisors, LLC sources proprietary deals and performs all the due diligence. Participants make their own independent investment decisions on a deal-by-deal basis. Co-direct investments are encouraged. Participants can invest in multiple Special Purpose Vehicles. Thereafter, our limited partners in each Special Purpose Vehicle determine whether to pursue additional transactions independently. Our limited partners have board representation and our management fee is 1.75% on net invested capital. Our targeted investment period is three (3) years. All investments will have interest paying debt and dividend paying preferred equity, in addition to equity warrants. Maximum leverage is 2 to 1.
